Terms of Service

These terms apply to business customers’ purchase and use of AGM AI OS. The product is not sold to private consumers.

By placing an order, the Customer accepts these Terms of Service. Together with the order and the information on the sales page, these terms form the agreement between the Customer and Tabtimize ApS.

1. Parties and B2B status

The seller and licensor is Tabtimize ApS, Danish company registration no. 38975579, Grundtvigs Alle 137, 6700 Esbjerg, Denmark. AGM AI OS and AI Growth Minds are trading names used by Tabtimize ApS.

The Customer is the business, organisation or public-sector entity whose details are provided with the order. AGM AI OS is supplied exclusively for commercial use. Orders from private consumers are not accepted.

The person completing the purchase confirms that they are acting in the course of the Customer’s business and are authorised to enter into the agreement on the Customer’s behalf. The Customer must provide the correct company name, billing address and company registration or VAT number at checkout.

2. How the agreement is formed

The Customer selects the product, accepts these terms and enters its business and payment details in the Stripe-hosted checkout. Before paying, the Customer can review and correct the information entered.

The agreement is formed when payment is approved and the Customer receives electronic confirmation. An automated acknowledgement is not an acceptance if payment is rejected, the order contains an obvious error, or there are reasonable grounds to suspect misuse.

The agreement is concluded in English. Tabtimize ApS records the transaction and the version number of the accepted terms. The Customer does not receive access to a separate contract archive but may request a copy from support.

3. Product and included services

The purchase comprises the following combined B2B supply:

  • a non-exclusive licence to install and use AGM AI OS within the Customer’s own business,
  • access to the installer, the current AGM AI OS template and the Control Room,
  • access to the associated digital video course,
  • new AGM AI OS template versions for 12 months from the purchase date, and
  • standard support concerning the licence, activation and installation at support@agm-ai-os.com.

An AI model, AI subscription, API usage, cloud storage, internet connection, hardware and other third-party services are not included in the purchase.

4. Delivery and first use

Delivery begins immediately after successful payment. The licence key and installation instructions are sent to the email address used for the purchase. The same licence key is used to log in to the course platform.

The digital supply is considered available when a usable licence key has been sent to the Customer. The product is considered first used at the earlier of the following events:

  1. the licence key is successfully activated in the AGM AI OS tool or CLI; or
  2. the Customer successfully logs in to the course platform for the first time.

A failed activation attempt or rejected login does not count as use. If the email has not arrived within 10 minutes, the Customer should first check its spam filter and then contact support from the email address used for the purchase.

5. Licence and right of use

The licence belongs to the legal entity named as Customer on the order. The Customer may allow its employees and regular contractors to use the system internally for the Customer, but remains responsible for their use and for keeping the licence key confidential.

One licence may be activated on up to three machines. Where a machine is legitimately replaced, the Customer may ask support to reset an activation. A reset does not permit the licence to be shared between multiple businesses.

The Customer receives a perpetual right to use the version installed locally, provided the agreement has not been terminated for breach. Expiry of the update period does not disable the installed version.

The Customer must not:

  • share the licence key or course access outside the Customer’s organisation,
  • transfer, resell, rent or sublicense the product,
  • copy, publish or distribute the installer, template, course videos or course materials to any third party,
  • circumvent activation limits, access controls or other security measures, or
  • remove proprietary notices or reverse engineer the product except to the extent expressly permitted by mandatory law.

The Customer may adapt the installed workspace to its own operations and use within its business the outputs it creates with the system.

6. Technical requirements and third-party services

The classic installation requires Node.js version 18 or later, Git, a supported Windows, macOS or Linux machine, and internet access for activation and updates. The current compatibility list is shown on the sales page and in the product documentation.

The Customer must separately obtain access to a compatible agentic AI service, for example through a subscription or API key. The Customer contracts directly with the chosen AI provider and pays all associated charges.

Third-party services may change their functions, prices, terms and technical interfaces. Such changes do not in themselves constitute a defect in AGM AI OS, although during the included update period Tabtimize ApS will use reasonable efforts to maintain supported integrations.

7. Price, VAT and payment

The standard price is DKK 9,500 or EUR 1,275 excluding VAT, payable once. The price and currency displayed at checkout apply to the specific order. A valid promotion code may reduce the price.

Payment is made by card through Stripe and is charged at purchase. VAT is calculated from the Customer’s billing country and registered VAT number. The Customer receives an electronic invoice or receipt.

The purchase does not renew automatically. After the first 12 months of updates, the Customer may choose to buy a new update period at the price and on the terms stated at that time. Future price changes do not alter an order already paid for.

8. Voluntary cancellation option

This is a business purchase. The Customer therefore has no statutory 14-day consumer withdrawal right. Tabtimize ApS instead offers the voluntary cancellation option set out below.

The Customer may cancel its first purchase within 14 days of the purchase date if the product has not yet been used. The cancellation option ends immediately when the Customer either:

  1. successfully activates the licence key in the AGM AI OS tool or CLI; or
  2. successfully logs in to the course platform for the first time.

The earlier event is decisive. Once either event has occurred, the combined digital supply has been used and the purchase is non-refundable.

A timely cancellation must be sent in writing to support@agm-ai-os.com from the purchasing email address and state the company name and invoice or order number. For a valid cancellation, the amount paid is returned to the original payment method within 14 days after receipt of the notice, and the licence key is disabled.

This clause does not limit the Customer’s remedies where Tabtimize ApS materially breaches the agreement or supplies a material defect that is not remedied under clause 10.

9. Updates and course content

The update period runs for 12 months from the purchase date. During that period, the Customer can download new template versions released by Tabtimize ApS. The updater places new versions separately and does not automatically overwrite the Customer’s existing files.

The purchase does not promise a particular number of updates or specific future features. Installed versions continue to work after the update period, but later versions require a new update period.

Course access is linked to a valid licence and does not expire with the first update period. Tabtimize ApS may update, restructure or replace course material to keep it current, provided the core supply is maintained.

10. Support and defects

Standard support for payment, licensing, activation and installation is provided at support@agm-ai-os.com. Unless separately agreed, support does not include Customer-specific development, operation of the Customer’s AI provider or general IT administration.

The Customer must report a defect without undue delay and provide information reasonably required to reproduce it. Tabtimize ApS may remedy the defect, provide a usable workaround or replace the affected part.

If a material defect cannot be remedied within a reasonable period, the Customer may, depending on the circumstances, claim a proportionate price reduction or terminate the affected part of the agreement. Issues caused by the Customer’s modifications, unmet system requirements, misuse or a third-party service are not defects in AGM AI OS.

11. Customer responsibility when using AI

AGM AI OS is a workspace and control system around the AI model selected by the Customer. AI can make mistakes. The product does not replace professional judgement, and Tabtimize ApS does not guarantee particular results, savings, earnings or error-free AI output.

The Customer is responsible for reviewing and approving outputs before using them for external communications, publication, payments, legal acts, accounting, pricing or other material decisions. The Customer is also responsible for compliance with applicable law, industry requirements, confidentiality duties and its own contracts.

The product’s training material and AI-generated content do not constitute legal, tax, accounting or other professional advice.

12. Data and personal information

The Customer’s workspace, knowledge base and business files remain locally with the Customer. AGM AI OS does not send those files to Tabtimize ApS. The selected AI provider may process information the Customer submits through its own AI service; that processing is governed by the Customer’s agreement with the provider.

For payment, licence management, course access, security and support, Tabtimize ApS processes information including contact and business details, payment references, licence details, an anonymised machine fingerprint, version information and course progress. Payment card data is processed by Stripe.

Personal data is processed under the applicable privacy policy. The Customer is responsible for having a lawful basis for any personal or confidential information it processes in its local workspace or sends to its AI provider.

13. Intellectual property rights

Tabtimize ApS or its licensors own all rights in AGM AI OS, the installer, templates, Control Room, course material, design, documentation and trade marks. The Customer receives only the right of use expressly stated in clause 5.

The Customer retains rights in its own data, business materials and adaptations to the extent they do not consist of or disclose protected parts of AGM AI OS. Rights in output from an external AI model may also be governed by the AI provider’s terms and third-party rights.

14. Operation, changes and force majeure

Tabtimize ApS aims to provide stable access to the licence server, downloads and course portal but does not guarantee uninterrupted operation. Planned maintenance, security work and short outages may occur. The locally installed version is generally not dependent on continuous portal availability.

Tabtimize ApS is not liable for delay or failure caused by circumstances beyond its reasonable control, including major internet or cloud outages, cyberattacks, government action, conflict, natural events or failure by critical suppliers. The affected party must notify the other and seek to mitigate the effects.

15. Limitation of liability

Under the general rules of Danish law, Tabtimize ApS is liable for documented direct loss caused by a culpable defect or breach.

The Customer is solely responsible for assessing and ensuring that its use of AGM AI OS and the course materials, and any actions it takes on their basis, comply with the GDPR, the EU AI Act and all other laws, regulations and industry requirements applicable to the Customer, its business and the specific use. Tabtimize ApS does not perform this assessment on the Customer’s behalf and is not liable for the Customer’s non-compliance.

The content of the course videos, documentation, templates, system and other materials is provided for general education and information only. It does not constitute legal advice or a warranty that any particular use is lawful. The Customer must obtain relevant independent legal advice before acting where necessary. If the Customer takes an action based on the materials that is unlawful under the laws applicable to the Customer, it does so at its own responsibility.

Tabtimize ApS is not liable for indirect or consequential loss, including operating loss, lost profit or revenue, loss of goodwill, loss or restoration of data, or third-party claims. The Customer must maintain reasonable backups of its local workspace and verify material outputs.

Tabtimize ApS’s aggregate liability arising from the agreement is limited to the amount excluding VAT actually paid by the Customer for AGM AI OS. The limitation does not apply to wilful misconduct or gross negligence, or where liability cannot lawfully be limited.

16. Breach and termination

For a material breach, the non-breaching party may terminate the agreement if the breach is not remedied within a reasonable written deadline. Tabtimize ApS may immediately suspend licence and course access in cases of documented licence sharing, circumvention of access controls, unlawful use, security abuse or non-payment.

Where the agreement is validly terminated because of the Customer’s breach, the right of use ends, the licence key may be revoked, and the Customer must stop using protected material. Amounts already paid are not refunded.

The Customer may stop using the product at any time. This does not create a right to a refund after the voluntary cancellation option in clause 8 has expired or ended.

17. Changes to terms and order of precedence

The version of these terms accepted at purchase governs the order. Tabtimize ApS may change the terms for future purchases without changing a licence already paid for.

For ongoing online components, Tabtimize ApS may make reasonable changes required by law, security, technology or third-party services. Where practicable, material changes that adversely affect the Customer will be notified by email within a reasonable period.

A separately signed agreement or specific quotation takes precedence over these standard terms in the event of conflict. If a provision is invalid, the remaining provisions continue in effect.

18. Governing law, venue and contact

The agreement is governed by Danish law. The parties must first attempt to resolve any dispute through direct negotiation. If this is unsuccessful, the dispute is subject to the Danish courts, with the District Court of Esbjerg as the agreed court of first instance unless mandatory rules provide otherwise.
